Confidentiality (NDA) & Non-Compete Agreement

This Agreement is entered into between Berkshire Energy and its affiliated solar lead-generation operation SLR VDR (the “Company”) and the individual signing below (the “Representative”), effective on the date of signature. In consideration of the Representative’s engagement with and access to the Company’s SLR VDR platform, leads, and systems, the parties agree:
1. Confidential Information. “Confidential Information” means all non-public information the Representative accesses through SLR VDR, including but not limited to: homeowner and property-owner names, addresses, phone numbers, and contact details; permit, valuation, and system-size data; lead lists and pipelines; data sources, jurisdiction lists, scraping/enrichment methods, and the means by which leads are sourced; pricing, scripts, and business processes; and any other information marked or reasonably understood to be confidential.
2. Non-Disclosure. The Representative will hold all Confidential Information in strict confidence, will not disclose it to any third party, and will use it solely to perform work for the Company. The Representative will not copy, export, screenshot, forward, or remove any lead data or Confidential Information from Company systems except as required to do their job for the Company.
3. Non-Compete. During the engagement and for a period of twelve (12) months after it ends, the Representative will not, directly or indirectly, within any territory in which the Company sources or sells, own, operate, work for, consult for, or assist any business that engages in solar/battery permit-based lead generation or solar/battery sales using the same or substantially similar lead-sourcing methods as the Company, nor build or operate a competing permit-lead system.
4. Non-Solicitation. During the engagement and for twelve (12) months after, the Representative will not solicit, contact, or sell to any homeowner, lead, or customer first obtained through SLR VDR for the benefit of anyone other than the Company, and will not solicit the Company’s other representatives, employees, or contractors to leave the Company.
5. Ownership. All leads, data, code, and work product accessed or created through SLR VDR are and remain the exclusive property of the Company. No license or ownership is granted to the Representative.
6. Remedies. The Representative acknowledges that a breach of this Agreement would cause the Company irreparable harm for which money damages are inadequate, and that the Company is entitled to seek injunctive relief and its reasonable attorneys’ fees, in addition to any other remedies at law.
7. Reasonableness & Severability. The Representative agrees these restrictions are reasonable in scope, duration, and geography. If any provision is held unenforceable, it will be modified to the minimum extent necessary to be enforceable, and the remaining provisions stay in full force. This Agreement is governed by the laws of the state in which the Company is organized, except where the Representative’s state of residence requires otherwise.
Note: This is a template. Non-compete enforceability varies by state (e.g., it is generally unenforceable for employees in California). The Company should have this reviewed by its attorney and confirm the governing state and any state-specific carve-outs before relying on it.
